DMCA Copyright Policy

CHORDLY, LLC ("Chordly," "we," "us," or "our") respects the intellectual property rights of others and expects our users to do the same. In accordance with the Digital Millennium Copyright Act of 1998 ("DMCA"), we have adopted the following policy concerning copyright infringement on our platform.

This policy outlines our procedures for responding to notices of alleged copyright infringement and protects the rights of both copyright holders and our users.

1. User Responsibility

By using Chordly, you agree that you will not upload, share, or otherwise make available any content that infringes upon the copyrights or other intellectual property rights of any third party. You are solely responsible for ensuring that any content you create or share complies with all applicable copyright laws.

Important Notice: Creating and sharing chord sheets, tabs, or lead sheets for copyrighted songs without proper authorization may constitute copyright infringement. 2. DMCA Takedown Procedure

If you are a copyright owner (or authorized to act on behalf of one) and believe that content on Chordly infringes your copyright, you may submit a DMCA takedown notice to our designated Copyright Agent using the contact information provided below.

Your notice must include the following information, as required by 17 U.S.C. § 512(c)(3):

  • Identification of the copyrighted work: Describe the copyrighted work that you claim has been infringed. If multiple works are covered by a single notification, provide a representative list of such works.

4. Our Response to DMCA Notices

Upon receipt of a valid DMCA takedown notice, we will:

  • Promptly remove or disable access to the allegedly infringing material
  • Notify the user who posted the material that it has been removed or disabled
  • Provide the user with a copy of the DMCA notice
  • Take appropriate action against repeat infringers as described in Section 6 below

We will make a good faith effort to complete these actions within 24 hours of receiving a complete and valid DMCA notice.

5. Counter-Notification Procedure

If you believe that content you posted was removed or disabled by mistake or misidentification, you may file a counter-notification with our Copyright Agent using the contact information provided above.

Your counter-notification must include the following information, as required by 17 U.S.C. § 512(g)(3):

  • Your contact information: Your name, address, telephone number, and email address.
  • Identification of the material: Identify the material that was removed or disabled and the location where it appeared before removal.
  • Good faith statement: A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification.
  • Consent to jurisdiction: A statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located (or for the Western District of Washington if your address is outside the United States), and that you will accept service of process from the person who filed the original DMCA notice or an agent of such person.
  • Physical or electronic signature: Your physical or electronic signature (typing your full legal name is sufficient for electronic submissions).

Please note: Under 17 U.S.C. § 512(f), you may be liable for damages, including costs and attorneys' fees, if you knowingly materially misrepresent that material was removed or disabled by mistake or misidentification.

Upon receipt of a valid counter-notification, we will forward it to the party who submitted the original DMCA notice. If the copyright claimant does not file a court action seeking an injunction against the alleged infringement within 10-14 business days, we may restore the removed content at our discretion.

6. Repeat Infringer Policy

In accordance with the DMCA and other applicable laws, Chordly has adopted a policy of terminating, in appropriate circumstances, the accounts of users who are deemed to be repeat infringers.

Our Three-Strike Policy:

  • First Strike: Upon receipt of a valid DMCA takedown notice, we will remove the infringing content and send a warning notification to the user explaining the violation and our copyright policy.
  • Second Strike: A second valid DMCA takedown notice will result in removal of the content and a final warning notification to the user. The user will be informed that a third violation will result in account termination.
  • Third Strike: A third valid DMCA takedown notice will result in permanent termination of the user's account and removal of all associated content.

We reserve the right to terminate accounts after fewer strikes in cases of egregious or willful infringement, or to exercise discretion in cases where we believe the DMCA notices may not be valid or where counter-notifications have been filed.

7. Fair Use and Educational Information

U.S. copyright law provides for a doctrine called "fair use," which permits limited use of copyrighted material without requiring permission from the copyright holder. Fair use is determined on a case-by-case basis considering four factors:

  • The purpose and character of the use (e.g., commercial vs. educational)
  • The nature of the copyrighted work
  • The amount and substantiality of the portion used
  • The effect of the use on the potential market for the copyrighted work

Important: Fair use is a legal defense, not a right. Simply labeling something as "fair use" does not make it so. If you are uncertain whether your use of copyrighted material constitutes fair use, we strongly recommend consulting with a legal professional or obtaining permission from the copyright holder before making content public on our platform.

Best Practices to Avoid Infringement:

  • Create original content whenever possible
